These Terms & Conditions ("Terms" or "Agreement") constitute a legally binding electronic agreement under the Information Technology Act, 2000, and rules made thereunder, between Bycyshare Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Gurugram, Haryana (hereinafter referred to as "Zypp", "Company", "we", "us", or "our") and the user downloading, registering, or accessing the App (hereinafter referred to as "User", "Partner", "Referrer", or "you").
1. Acceptance of Terms & Electronic Record
1.1. This document is an electronic record generated by a computer system and does not require any physical or digital signatures.
1.2. By downloading, installing, registering on, or utilizing the EV DOST App ("App"), you unconditionally accept and agree to be bound by these Terms, the Privacy Policy, and all other operational policies incorporated herein by reference.
1.3. Affirmative Action: Clicking 'I have read and accept the Terms & Conditions' and selecting 'Submit & Continue' constitutes your express, unambiguous legal consent to execute this Agreement digitally. If you do not agree to these Terms, you must immediately cease using the App.
2. Definitions
"App / Platform" means the "EV DOST App" mobile application, website, and related digital infrastructure owned and operated by Zypp.
"User / Partner" means any individual, professional, gig worker, or business entity registered on the App under any eligible category.
"Rider" means an individual successfully onboarded as an active electric vehicle (EV) delivery or logistics operator within the Zypp delivery network.
"Lead" means a prospective rider's unique profile data submitted by a User via the App.
"Referral" means the specific digital or manual introduction of a Lead through the App's mechanisms.
"Commission / Reward" means the financial or non-financial incentives payable to a User for a successfully verified and active Rider onboarding.
"KYC" means Know Your Customer, denoting statutory identity and address verification processes mandated by Indian regulations and Zypp.
"Milestone & Leaderboard" mean gamification benchmarks and ranking metrics within the App that trigger supplemental performance bonuses.
3. Eligibility Criteria
3.1. Age & Competency: You must be a natural person of at least 18 years of age, possessing the sound mental capacity to enter into a legally binding contract under the Indian Contract Act, 1872.
3.2. Territory: You must possess a valid, active Indian mobile number and reside/operate within the territorial jurisdiction of India.
3.3. Prior Conduct: You must not have been previously suspended, blacklisted, or terminated by Zypp for fraud, breach of trust, or violation of any operational guidelines.
3.4. Regulatory Compliance: Your participation must not violate any local, state, or federal laws of India. Zypp reserves the absolute right to demand proof of eligibility and terminate accounts instantly upon non-compliance.
4. Registration, OTP Authentication & Language Settings
4.1. Authentication: Access to the App is restricted via a One-Time Password (OTP) dispatched to your registered Indian mobile number.
4.2. Account Security: The OTP is confidential. The User assumes absolute liability for all actions, leads submitted, and monetary transfers processed through their registered account. You must notify Zypp immediately via the in-app support channel if you suspect an account breach.
4.3. Language Preference: The App provides multi-lingual regional interfaces for user convenience. However, the English version of these Terms shall remain the primary, governing legal text in the event of any linguistic ambiguity or dispute.
5. Role Categorization & Specific Obligations
Upon registration, the User must explicitly select their specific operating capacity. Each category carries distinct verification and performance mandates:
6. Personal Information, Document Uploads & Statutory KYC
6.1. Mandatory Documentation: To activate payout capabilities, all Users must upload clear, unaltered copies of:
Aadhaar Card (for identity and address proof, processed via voluntary consent).
PAN Card (mandated under Section 139A of the Income Tax Act, 1961 for tax reporting).
Live Selfie/Photograph (for real-time biometric identity matching).
Bank Payout Proof (Cancelled cheque, clear bank passbook image, or official bank statement showing Name, Account Number, and IFSC).
6.2. Representations & Warranties: The User warrants that all uploaded credentials are completely authentic. Submission of forged, photoshopped, or third-party documents without authorization shall be treated as an act of criminal impersonation and fraud under the Bharatiya Nyaya Sanhita, 2023 (BNS), leading to immediate forfeiture of all earnings and legal prosecution.
7. Referral Policy & Lead Lifecycle
7.1. Authorized Referral Channels: Leads may only be generated via:
Manual single entry (Add Rider Lead).
Structured bulk data processing (Bulk Upload).
Unique user-specific tracking coordinates (Share Referral Link, WhatsApp Share, or QR Code).
7.2. De-duplication & First-Point Attribution: A Lead is deemed contractually valid only if the prospect is a completely new entity who has never previously applied to, been onboarded by, or been rejected by Zypp. In the event of duplicate lead submissions by different Users, attribution and incentive rights shall be granted exclusively to the User whose unique tracking link or manual entry was clocked first in Zypp’s central servers.
7.3. Self-Referral Prohibition: Users are strictly barred from referring themselves or generating phantom leads.
7.4. Validity Window: Leads remaining in a passive "Pending" status for more than 60 days without completing onboarding shall automatically expire and be archived. Zypp holds absolute discretion to alter this window.
8. Incentive Structure, Milestones & Gamification
8.1. Accrual Criteria: Incentives (including Joining Bonuses, Referral Commissions, Milestone Rewards, and Monthly Leaderboard Bonuses) accrue only after:
The User's KYC status is fully approved by Zypp's compliance team.
The referred Rider successfully completes the mandatory activation threshold and the minimum ride counts specified in active campaign criteria.
8.2. Discretionary Adjustments: Reward matrices, promotional campaigns, and gamification mechanics (such as Badges, Referral Ranks, and Monthly Challenges) are discretionary marketing incentives. Zypp reserves the absolute right to modify, curtail, or cancel these incentive structures at any time by rendering reasonable notice via the App.
9. Payout Schedules, Tax Deductions (TDS) & Financial Terms
9.1. Disbursement Windows:
Standard Commissions: Processed weekly, within 5 to 7 working days post the closing of the operational week.
Milestone & Joining Bonuses: Disbursed within 10 working days post verification of the rider's active completion criteria.
9.2. Transfer Channels: Payouts are systematically executed through Automated Clearing House (ACH) networks, National Electronic Funds Transfer (NEFT), Immediate Payment Service (IMPS), or Unified Payments Interface (UPI) to the financial coordinates mapped to the User’s profile. Zypp stands fully indemnified against any loss resulting from typographical errors or incorrect banking coordinates inputted by the User.
9.3. Taxation & statutory Retentions: All disbursements are subject to Tax Deduction at Source (TDS) under the provisions of the Income Tax Act, 1961 (including but not limited to Section 194-H or Section 194-O, as applicable). Zypp will issue quarterly TDS certificates via Form 16A, provided the User has updated a valid, linked PAN.
9.4. Dispute Window: Any billing, calculation, or payout grievance must be lodged formally via the in-app Support ticket system within 30 days of the alleged non-payment. Unclaimed variations after 30 days shall be deemed legally waived by the User. The decisions of Zypp’s internal finance audit shall be final.
10. Anti-Fraud Policy & Severe Consequences
Zypp maintains a strictly enforced, zero-tolerance policy against artificial or deceptive network inflation.
10.1. Prohibited Fraudulent Acts:
Utilizing bots, click-farms, emulator software, or automated scrapers.
Colluding with prospects to execute dummy registrations or fake rides.
Creating multiple profiles using altered phone numbers for a singular identity.
10.2. Contractual & Legal Remedies: Upon detecting suspicious transactional patterns, Zypp reserves the unilateral right to freeze the User's account immediately without prior notice. If an internal audit confirms fraud, Zypp shall exercise the right to:
Permanently terminate the User's platform access.
Forfeit all accrued, unpaid, and pending rewards.
Claw back / Recover previously disbursed amounts as a debt due.
Initiate appropriate civil and criminal litigation under applicable Indian penal frameworks for cheating, breach of trust, and cyber-crimes.
11. Platform Usage & Intellectual Property (IP) Rights
11.1. Proprietary Ownership: The App, its underlying software architectures, algorithms, UI/UX designs, trademarks, trade dress, logos, brand assets, and gamification configurations are the exclusive intellectual property of Bycyshare Technologies Private Limited.
11.2. Limited License: Users are granted a highly restricted, revocable, non-exclusive, non-transferable license to utilize the App purely for its intended sourcing and referral utility.
11.3. Restrictions: You shall not copy, modify, reverse-engineer, decompile, or exploit the proprietary code or assets of Zypp. Any external commercial use of the brand name "Zypp" or "Zypp Electric" on social media or public forums for marketing requires explicit, prior written authorization from Zypp’s corporate communications department.
12. Disclaimers & Limitation of Liability
12.1. "As-Is" Provision: The App and all content therein are delivered on an "As-Is" and "As-Available" basis. Zypp makes no warranties, express or implied, regarding the continuous, uninterrupted availability, speed, accuracy, or market uptime of the platform.
12.2. No Earning Guarantees: Zypp does not guarantee any minimum income, conversion rate, or target volume to any User.
12.3. Financial Liability Cap: To the maximum extent permitted by applicable Indian law, Zypp's cumulative financial liability to any User for any cause of action arising out of this Agreement shall be strictly capped at the total net commission successfully paid to that specific User during the 3 (three) months immediately preceding the date on which the claim arose.
12.4. Force Majeure: Zypp shall not be held liable for any failure or delay in performance resulting from acts of God, government directives, internet outages, cyber-attacks, telecommunication failures, or banking system breakdowns.
13. Third-Party Services & Extra Benefits
Any ancillary services facilitated through the App—including but not limited to vehicle loan assistance, commercial insurance schemes, or discounted fuel/EV charging options at partner networks—are provided entirely by third-party financial institutions and service vendors. Zypp acts solely as an introductory facilitator. These services are governed by separate end-user covenants issued by the respective vendor, and Zypp assumes zero liability for underwriting, claims rejection, or service deficiencies.
14. Term, Suspension & Account Termination
14.1. Termination by User: You may cease using the App at any time by choosing 'Logout' and lodging a data deletion request with Support.
14.2. Termination by Zypp: Zypp reserves the right to terminate this agreement and purge user accounts instantly for contractual breaches, prolonged inactivity extending beyond 12 consecutive months, or operational hazards.
14.3. Survival: Clauses concerning Intellectual Property, Limitation of Liability, Anti-Fraud Policy, Governing Law, and Data Retention shall survive the termination of this Agreement.
15. Governing Law, Dispute Resolution & Jurisdiction
15.1. Governing Law: This Agreement shall be governed, interpreted, and enforced strictly in accordance with the substantive laws of the Republic of India.
15.2. Amicable Settlement: Any dispute, difference, or claim arising out of this platform relationship shall first be subjected to mutual, amicable discussion to be concluded within 30 days of written notice.
15.3. Arbitration: If amicable efforts fail, the dispute shall be referred to and finally resolved by a Sole Arbitrator appointed mutually by the parties in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The statutory seat and venue of the arbitration shall be New Delhi, India. The language of the arbitration proceedings shall be English.
15.4. Jurisdiction: Subject to the arbitration framework, the competent courts located exclusively in New Delhi, India shall retain sole, overriding judicial jurisdiction over any matters or interim reliefs arising from this Agreement.
