These Terms & Conditions (“Terms” or “Agreement”) constitute a legally binding electronic agreement under the applicable laws and rules made thereunder, between Bycyshare Technologies Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN: U74999HR2017PTC070227 and having its registered address at Tower 16, Flat 1201, The South Close, Sector 50, near Nirvana Country, Gurgaon, Haryana, 122018, India (hereinafter referred to as “Zypp”, “Company”, “we”, “us”, or “our”) and the user downloading, registering, or accessing the HustleOS App (hereinafter referred to as “User”, “Gig Worker”, “Partner”, or “you”).

1. Acceptance of Terms & Electronic Record

1.1 This document is an electronic record generated by a computer system and does not require any physical or digital signatures.

1.2 By downloading, installing, registering on, or utilizing the HustleOS App (“App”), you unconditionally accept and agree to be bound by these Terms, the Privacy Policy, and all other operational policies incorporated herein by reference.

1.3 Affirmative Action: Clicking ‘I have read and accept the Terms & Conditions’ and selecting ‘Submit & Continue’ constitutes your express, unambiguous legal consent to execute this Agreement digitally. If you do not agree to these Terms, you must immediately cease using the App.

2. Definitions

2.1 “App / Platform” means the “HustleOS” mobile application, website, and related digital infrastructure owned and operated by Zypp, designed to function as a unified platform for India’s gig workforce.

2.2 “User” means any individual gig worker, existing or prospective rider, delivery partner, freelancer, or independent gig worker registered on the App.

2.3 “Module” means a distinct service vertical made available on the App, including but not limited to Investments, Loans, Atal Canteen, Hustle Score, Bazaar, Learning, and Start Riding with Zypp.

2.4 “Partner” means any licensed or regulated third-party entity integrated with the App to provide a Module’s underlying service, including investment, lending, food service, or marketplace partners.

2.5 “Hustle Score” means the AI-generated behavioural score reflecting a User’s engagement and activity on the App, as further described in Clause 5.4.

2.6 “KYC” means Know Your Customer, denoting statutory identity and address verification processes mandated by Indian regulations, Zypp, and/or the relevant Partner.

2.7 “Regulated Services” means services such as investment, lending, or insurance that are provided exclusively by licensed Partners and not by Zypp.

3. Eligibility Criteria

3.1 Age & Competency: You must be a natural person of at least 18 years of age, possessing the sound mental capacity to enter into a legally binding contract under the Indian Contract Act, 1872.

3.2 Territory: You must possess a valid, active Indian mobile number and reside/operate within the territorial jurisdiction of India.

3.3 Prior Conduct: You must not have been previously suspended, blacklisted, or terminated by Zypp for fraud, breach of trust, or violation of any operational guidelines.

3.4 Regulatory Compliance: Your participation must not violate any local, state, or federal laws of India. Zypp reserves the absolute right to demand proof of eligibility and terminate accounts instantly upon non-compliance.

4. Registration, OTP Authentication & Language Settings

4.1 Authentication: Access to the App is restricted via a One-Time Password (OTP) dispatched to your registered Indian mobile number.

4.2 Account Security: The OTP is confidential. The User assumes absolute liability for all actions, transactions, and Module interactions processed through their registered account. You must notify Zypp immediately via the in-app support channel if you suspect an account breach.

4.3 Language Preference: The App provides multi-lingual regional interfaces for user convenience. However, the English version of these Terms shall remain the primary, governing legal text in the event of any linguistic ambiguity or dispute.

4.4 User Responsibility for Account Security: The User shall be solely responsible for maintaining the confidentiality and security of their account credentials, login details, OTPs, devices, and authentication mechanisms. Any activity carried out through the User's registered account shall be deemed to have been undertaken by the User unless the User has promptly notified Zypp of any unauthorized access. Zypp shall not be liable for any loss arising from the User's failure to safeguard their account credentials.

5. Platform Modules & Role of HustleOS

5.1 HustleOS is a technology-enabling platform. It is not a bank, non-banking financial company (NBFC), investment advisor, mutual fund distributor, insurance provider, food operator, or lending institution. Wherever a Module offers a regulated or third-party service, the User journey is enabled solely through the relevant licensed Partner, and Zypp’s role is limited to that of a facilitator as set out below.

5.2 The Modules available on the App, and the corresponding role of HustleOS, are set out below:

5.3 Consent to Communications: By registering on or using the App, the User expressly consents to receive communications from Zypp and its authorized Partners through SMS, email, push notifications, WhatsApp, telephone calls, or any other legally permissible mode for purposes including account verification, transactional updates, service notifications, promotional offers, reminders, customer support, regulatory compliance, and other communications relating to the App and the Modules.

5.4 AI-Based Recommendations and Automated Processing: Certain Modules, including Hustle Score, may utilise automated systems, algorithms, artificial intelligence, or machine learning models to generate scores, recommendations, eligibility indicators, personalised content, or other outputs. Such outputs are generated based on available data and predefined parameters and are intended solely for facilitating the User experience. They shall not constitute credit ratings, employment guarantees, financial advice, or legally binding decisions. Zypp reserves the right to modify, suspend, or discontinue such models at any time without prior notice.

5.5 Software Updates: Zypp may periodically release updates, upgrades, patches, bug fixes, or new versions of the App. The User acknowledges that continued access to certain features or Modules may require installation of such updates, and Zypp reserves the right to discontinue support for outdated versions of the App.

5.6 Zypp reserves the right to add, modify, suspend, or discontinue any Module, in whole or in part, at its sole discretion and with reasonable notice via the App.

6. Personal Information, Document Uploads & Statutory KYC

6.1 Mandatory Documentation: To access Regulated Services or activate payout capabilities under any Module, Users may be required to upload clear, unaltered copies of:

  1. The User warrants that all uploaded credentials are completely authentic. Submission of forged, photoshopped, or third-party documents without authorization shall be treated as an act of criminal impersonation and fraud under the Bharatiya Nyaya Sanhita, 2023 (BNS), leading to immediate forfeiture of all earnings and legal prosecution.
  2. The User represents and warrants that all information, documents, declarations, permissions, and consents provided through the App are true, accurate, complete, and not misleading. The User further warrants that they possess all necessary legal authority to submit such information and shall promptly update any changes thereto. Zypp shall be entitled to rely upon such information without any independent verification.

6.3 Data Sharing with Partners: Regulated or KYC data shall only be shared with a Partner where required for that Partner’s specific Module journey and with the User’s explicit, informed consent.

7. Third-Party Partners & Integrations

7.1 The Modules on the App are proposed to be enabled through the following third-party Partners, each governed by its own end-user terms:

7.2 All integrations are subject to commercial agreements, technical feasibility, and legal approval, and are provided entirely by the respective third-party institutions and vendors. Zypp acts solely as a Technology enabler and assumes zero liability for underwriting, claims rejection, or service deficiencies of any Partner.

8. Anti-Fraud Policy & Severe Consequences

Zypp maintains a strictly enforced, zero-tolerance policy against artificial or deceptive use of the App and its Modules.

8.1 Prohibited Fraudulent Acts:

8.2 Acceptable Use Policy: The User shall use the App and its Modules only for lawful and authorized purposes and shall not interfere with the App's security, integrity, or functionality, gain unauthorized access, upload malicious software, reverse engineer, scrape, impersonate any person, provide false information, or engage in any activity that may adversely affect Zypp, its Partners, or other Users.

8.3 Contractual & Legal Remedies: Upon detecting suspicious transactional patterns, Zypp reserves the unilateral right to freeze the User’s account immediately without prior notice. If an internal audit confirms fraud, Zypp shall exercise the right to permanently terminate the User’s platform access, forfeit all accrued and pending rewards, claw back previously disbursed amounts as a debt due, and initiate appropriate civil and criminal litigation under applicable Indian penal frameworks.

9. Platform Usage & Intellectual Property (IP) Rights

9.1 Proprietary Ownership: The App, its underlying software architectures, algorithms, UI/UX designs, trademarks, trade dress, logos, brand assets, and the Hustle Score methodology are the exclusive intellectual property of Bycyshare Technologies Private Limited.

9.2 Limited License: Users are granted a highly restricted, revocable, non-exclusive, non-transferable license to utilize the App purely for its intended purpose.

9.3 Restrictions: You shall not copy, modify, reverse-engineer, decompile, or exploit the proprietary code or assets of Zypp/HustleOS. Any external commercial use of the brand name “HustleOS”, “Zypp”, or “Zypp Electric” on social media or public forums for marketing requires explicit, prior written authorization from Zypp’s corporate communications department.

10. Disclaimers & Limitation of Liability

10.1 “As-Is” Provision: The App and all content therein are delivered on an “As-Is” and “As-Available” basis. Zypp makes no warranties, express or implied, regarding the continuous, uninterrupted availability, speed, or accuracy of the platform.

10.2 No Financial or Earning Guarantees: Zypp does not guarantee any minimum income, investment return, loan approval, or transaction volume to any User. HustleOS is not a bank, NBFC, investment advisor, mutual fund distributor, insurer, or lending institution, and does not itself underwrite, advise on, or execute any Regulated Service.

10.3 Financial Liability Cap: To the maximum extent permitted by applicable Indian law, Zypp’s cumulative financial liability to any User for any cause of action arising out of this Agreement shall be strictly capped at the total net amount, if any, paid to that specific User by Zypp during the 3 (three) months immediately preceding the date on which the claim arose.

10.4 Force Majeure: Zypp shall not be held liable for any failure or delay in performance resulting from acts of God, government directives, internet outages, cyber-attacks, telecommunication failures, or banking system breakdowns.

11. Third-Party Services

11.1 Regulated and ancillary services facilitated through the App — including investment, lending, food service, and marketplace offerings — are provided entirely by third-party licensed Partners and vendors. Zypp acts solely as a technology enabler. These services are governed by separate end-user terms issued by the respective Partner, and Zypp assumes zero liability for underwriting, claims rejection, refund ownership, or service deficiencies of any Partner.

11.2 Payments processed through the App are facilitated by authorized third-party payment service providers. Zypp shall not be liable for any payment failures, delayed settlements, duplicate transactions, banking failures, payment gateway outages, chargebacks, or technical issues attributable to banks, payment gateways, or other third-party financial institutions.

12. Term, Suspension & Account Termination

12.1 Termination by User: You may cease using the App at any time by choosing ‘Logout’ and lodging a data deletion request with Support.

12.2 Termination by Zypp: Zypp reserves the right to terminate this Agreement and purge user accounts instantly for contractual breaches, prolonged inactivity extending beyond 12 consecutive months, or operational hazards.

12.3 Survival: Clauses concerning Intellectual Property, Commercials, Limitation of Liability, Anti-Fraud Policy, Governing Law, and Data Retention shall survive the termination of this Agreement.

13. Governing Law, Dispute Resolution & Jurisdiction

13.1 Governing Law: This Agreement shall be governed, interpreted, and enforced strictly in accordance with the substantive laws of the Republic of India.

13.2 Amicable Settlement: Any dispute, difference, or claim arising out of this platform relationship shall first be subjected to mutual, amicable discussion to be concluded within 30 days of written notice.

13.3 Arbitration: If amicable efforts fail, the dispute shall be referred to and finally resolved by a Sole Arbitrator appointed mutually by the parties in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The statutory seat and venue of the arbitration shall be New Delhi, India. The language of the arbitration proceedings shall be English.

13.4 Jurisdiction: Subject to the arbitration framework, the competent courts located exclusively in New Delhi, India shall retain sole, overriding judicial jurisdiction over any matters or interim reliefs arising from this Agreement.

14. Waiver

No failure or delay by Zypp in exercising any right, remedy, or power under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right or remedy.

15. Assignment

Zypp may assign, transfer, novate, or otherwise deal with its rights and obligations under these Terms to any affiliate, successor, or third party without obtaining the User's consent. The User shall not assign or transfer any rights or obligations under these Terms without Zypp's prior written consent.
